Summary: The Contracts Administrator position is located at our Greensboro, NC corporate headquarters and supports business sales activities across the Tencarva enterprise. This position will oversee the timely processing of legal contracts and assist in the preparation, review, and negotiations of various company-wide contractual requirements. This individual will manage purchase order terms and conditions and assist in the review and preparation for project bids and contracts. The Contract Administrator will act as a liaison between accounting, leadership, sales, and the contractual third-party as needed. Professionalism, organization, and a proactive team-oriented approach are key performance measures for this position.

Essential Duties And Responsibilities Include The Following

  • Review, negotiate, and manage the life cycle of a wide variety of contracts to include, but without limitation, customer agreements/purchase orders/field service agreements, master supplier and master services agreements, nondisclosure agreements, leases, and a wide range of other contracts.
  • Process contracts in accordance with company policies and procedures with an emphasis on mitigating and neutralizing risks for Tencarva. Implement ongoing process improvements to standardize contractual terms, to include, but without limitation, payment/pay-if/pay-when terms and progress payment schedules, aggregate liability caps, flow-down clauses, warranty, indemnification/indemnity, delays and force majeure clauses, waivers of damages provisions, termination clauses, and dispute resolution procedures, among others, protecting Tencarva from unreasonable and/or unanticipated financial damages in the event of breach by either party.
  • Coordinate in-house with the contracts and credit departments and collaborate externally with branch managers, sales engineers, and/or project managers to ensure that scopes of work (SOW), pricing and payment schedules, taxes (if applicable), freight (included or excluded), and other key contract terms and conditions align with quotes and project net profitability.
  • Communicate externally and professionally with customers, manufacturer-suppliers, insurance personnel, as well as other third-party stakeholders to negotiate and execute balanced and lawful contracts.
  • Identify and take ownership of contract deadlines, insurance requirements, communicating safety and onsite requirements (where applicable), and lien and bonding requirements and filing deadlines.
  • Assist with review of project bid documentation and break down key provisions and obligations for all stakeholders as needed.
  • Maintain organized files and recordkeeping in LinkSquares (contract management solution) and across other electronic/nonelectronic mediums for audits and in keeping with legal best practices.
  • Assist the credit department as needed in collection actions that concern lien filings and bond claims.
  • Operate as a go-to legal resource for Tencarva. Support other legal and administrative functions as needed.
  • All other duties as assigned by management.

Requirements

Education and/or Experience: Bachelor's Degree from a 4-year college or university, with 4-7 years related work experience and/or training; or equivalent combination of education and experience. Legal background and experience are preferred

Language Skills: Must have the ability to read, analyze, and interpret documents such as legally binding contracts. Negotiate fair and balanced terms that help mitigate risk and protect Tencarva from unreasonable financial damages in the event of contract breaches. Strong writing, reading comprehension and verbal skills are essential along with the ability to effectively present information and respond to questions from team members and third parties.

Mathematical Skills: Must be able to perform basic mathematical equations including addition, subtraction, multiplication, division, use of whole numbers, and percentage and decimals.

Computer Skills: To perform this job successfully, the individual should have basic computer skills, knowledge of MS Office Software (i.e., Word, Excel, Outlook) and internet software.
